This document sets out the Terms of Service (the “Terms”) and Privacy Policy (collectively, the “Agreement”) for members, prospective members, and visitors who use the In-House Counsel Network (“ICN”) website, online tools, or services (collectively, the “Services”). By accessing the website or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, please do not use the website or Services.

1. Terms of Service

1.1 Definitions

For the purposes of these Terms:

  • In-House Counsel Network (“ICN,” “we,” “us”) refers to the non-profit entity offering professional networking, resources, and educational opportunities for in-house counsel.
  • Services include membership services, educational events, networking opportunities, online resources, webinars, and any other services offered through the ICN platform.
  • Website refers to our public website, online platforms, and tools used to provide Services.
  • You or Member means any individual or organization accessing the Website or engaging in the Services.

Defined terms have the meaning set out when first used in this Agreement.

1.2 Acceptance of the Terms

By using the Website or Services, you agree to abide by these Terms. If you do not agree, you must not use the Website or Services. ICN may update these Terms from time to time; material changes will be posted on the Website. Your continued use after changes take effect constitutes acceptance of the revised Terms.

1.3 Scope of Services

ICN provides professional networking, educational resources, and events for in-house counsel. Descriptions of Services on the Website are for general informational purposes only and do not constitute legal or professional advice. Access to Services is contingent on membership registration, compliance with these Terms, and any additional terms applicable to specific events or tools.

1.4 Online Tools and Communications

ICN may provide online tools such as event registration portals, document uploads, webinars, and forums. Use of these tools is subject to these Terms. By submitting information via these tools, you warrant that the information is accurate and that you have the authority to share it. You consent to the collection, use, and processing of that information in accordance with our Privacy Policy. ICN does not guarantee continuous or error-free availability of online tools and may suspend, modify, or discontinue them at any time. You are responsible for maintaining the confidentiality of any account credentials.

1.5 Member Responsibilities and Conduct

Members agree to provide accurate, complete, and current information when using the Services. Members must comply with applicable laws and ICN rules, refrain from uploading harmful content, respect intellectual property, and not engage in abusive, unlawful, or disruptive conduct. ICN reserves the right to suspend or terminate access for members who violate these Terms.

1.6 Disclaimers

Content on the Website, including educational materials, templates, and interactive features, is for informational purposes only. ICN is not providing legal advice. Participation in Services does not establish any professional relationship with ICN beyond the membership agreement.

1.7 Membership and Termination

Membership is granted upon successful registration and, if applicable, payment of membership fees. ICN may suspend or terminate membership at its discretion, including for non-payment or breach of these Terms. Upon termination, ICN will follow its internal procedures for data retention and account closure.

1.8 Fees and Payment

Where applicable, fees for Services, events, or membership will be outlined on the Website or in registration agreements. Payments must be made according to the terms provided. ICN reserves the right to suspend Services if fees remain unpaid. Taxes, where applicable, are the responsibility of the member.

1.9 Intellectual Property

All materials on the Website—including text, graphics, logos, trade names, designs, and software—are owned by ICN or its licensors and protected by intellectual property laws. Members are granted a limited, non-exclusive, non-transferable license to access materials for personal, non-commercial use only. Unauthorized use of ICN intellectual property is strictly prohibited.

1.10 Third-Party Content and Services

The Website may contain links to third-party sites or integrate third-party tools. ICN does not control or endorse third-party content and is not responsible for its accuracy, privacy practices, or availability. Use of third-party services is at your own risk.

1.11 Limitation of Liability

To the maximum extent permitted by law, ICN, its directors, officers, employees, and agents are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of the Website or Services. The Website and Services are provided “as is.” Nothing in these Terms limits liability that cannot be lawfully excluded or restricted.

1.12 Indemnification

Members agree to indemnify and hold harmless ICN and its directors, officers, employees, and agents from claims, losses, or liabilities arising from: (a) misuse of the Website or Services; (b) breach of these Terms; (c) submission of content or data; or (d) infringement of third-party rights.

1.13 Dispute Resolution and Governing Law

These Terms and any disputes are governed by the laws of the Province of Alberta and federal laws of Canada. Members agree that the courts of Calgary, Alberta have exclusive jurisdiction. Parties will endeavour to resolve disputes informally before litigation. Claims must be brought within six months of the event giving rise to the claim, to the extent permitted by law.

1.14 Force Majeure

ICN is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, power failures, pandemics, labor disputes, government actions, or internet interruptions.

1.15 Changes to Services and Terms

ICN reserves the right to modify, suspend, or discontinue Services or Website features at any time. Terms may also be updated periodically, with changes posted on the Website. Continued use of Services constitutes acceptance of updated Terms.

1.16 Miscellaneous

  • Severability: If a provision is invalid or unenforceable, the remaining provisions remain in effect.
  • No Waiver: Failure to enforce any right does not constitute a waiver.
  • Assignment: Members may not assign rights without ICN’s written consent. ICN may assign this Agreement at its discretion.
  • Entire Agreement: These Terms, together with any membership agreement, constitute the entire understanding between ICN and the Member.

2. Privacy Policy

ICN respects your privacy and is committed to protecting personal information collected through the Website and Services in accordance with applicable privacy laws, including PIPEDA and similar provincial legislation.

2.1 Information We Collect

ICN collects:

  • Personal information voluntarily provided (name, company, job title, email, phone).
  • Non-identifiable technical information (IP address, browser type, device, pages viewed, cookies).

ICN does not intentionally collect sensitive personal information such as financial or health data.

2.2 Purpose of Collection

Information is used to:

  • Process membership and event registrations.
  • Communicate about ICN programs, services, and events.
  • Administer and improve the Website.
  • Comply with legal obligations.

Information is not sold to third parties.

2.3 Disclosure

ICN may disclose personal information to:
